The present general conditions govern online purchases made through the website www.theuniqueform.com. The submission of the order confirmation implies the Client’s full knowledge of these General Terms and Conditions of Sale and their full acceptance.

GENERAL PROVISIONS

1.1. These general terms and conditions of sale (hereinafter, the “General Terms”) govern all sales of The Uniqueform Srl products (hereinafter, “Products” or “Product”) concluded remotely on the website www.theuniqueform.com (hereinafter, the “Site”).

1.2. The distance selling service governed by the General Terms is reserved exclusively for consumers (hereinafter, “Clients” or “Client”); consumers are defined as natural persons, over 18 years of age, acting for purposes unrelated to their commercial, entrepreneurial, artisanal, or professional activity.

1.3. The language used for the conclusion of sales contracts through this Site is Italian.

IDENTIFICATION OF THE SELLER

2.1. The seller is The Uniqueform Srl, with registered office in Via Dei Mille 2 25122 Brescia, Italy, VAT no. 04103130987, tax code no. 04103130987, REA BS-588540, share capital of €150,000.00.

INFORMATION RELATING TO PRODUCTS AND THEIR AVAILABILITY

3.1. The information relating to the Products, together with the Product codes and their price, is available on the Site.

3.2. The graphic representation of the Products displayed on the Site may differ from reality; the Client must therefore rely exclusively on the description of the Product and its characteristics shown on the Site.

3.3. The Uniqueform reserves the right to limit, at any time, the quantity and/or type of Products that may be purchased on the Site. The style, models, and colors of the Products described on the Site may be modified without notice. During the purchase procedure, if it is not possible to process the order due to the unavailability of the ordered Product, the Client will be informed via an automatic message. The Uniqueform cannot in any case be held responsible towards the Client due to the unavailability of a Product.

3.4. The Client may include in the order proposal a maximum of ten pieces per individual Product.

3.5. The Uniqueform is in no case responsible for any errors resulting from the Client’s malfunctioning connection to the Site.

PRICE
4.1. The price of the Products indicated on the Site is expressed in euros and includes all applicable taxes or duties. To the price of the Products must be added the delivery costs, indicated separately in the order form. -
CONCLUSION OF THE CONTRACT

5.1. The Site shows the essential characteristics and price of each Product. The information on the Site does not constitute an offer by The Uniqueform.

5.2. Before submitting an order proposal via the Site, the Client must carefully read all the instructions provided during the purchase procedure as well as these General Terms.

5.3. To purchase a Product, the Client must: (i) place the selected Product in the “Cart” by clicking on the appropriate button, (ii) fill out the order proposal, (iii) select the payment method, (iv) accept the General Terms, and (v) send the order proposal to The Uniqueform via the Site.

5.4. The submission of the order proposal constitutes a purchase proposal relating to the selected Product, governed by these General Terms and binding on the Client (without prejudice to the right of withdrawal provided for in Article 10). The submission of the order proposal by the Client entails the obligation of the latter to pay the price of the ordered Product(s).

5.5. Before submitting the order proposal, the Client has the possibility to make any corrections/changes to the data entered by following the procedure indicated on the Site (for example, the Client may modify the quantity of Products to be purchased by adding or removing one or more Products from the “Cart”).

5.6. Without prejudice to the use of personal data described in the Privacy Policy, the order proposal form and the Client’s data relating to the order proposal may be stored by The Uniqueform for the period of time provided by applicable law.

5.7. The contract between The Uniqueform and the Client is concluded when the Client receives confirmation from The Uniqueform of the acceptance of the order proposal submitted through the procedure provided on the Site. The acceptance (or rejection) by The Uniqueform of the order proposal will be sent to the Client at the e-mail address indicated by the Client in the order proposal (“Order Confirmation”).

5.8. The Uniqueform may reject an order proposal (in which case no amount will be due by the Client to The Uniqueform, except, where applicable, for the sums indicated in Article 6 below) in the following cases: (I) in the event of unavailability of the Products (without prejudice to the provisions of Articles 3.3 and 5.9); (II) if the payment made by the Client is unsuccessful (e.g., in the event of failure to charge the purchase price to the Client’s credit card or, if payment is made by bank transfer, if there is no confirmation of receipt of the transfer within 10 (ten) business days from the date of the order proposal); (III) if there is a report, or suspicion, of fraudulent or illegal activities, including the suspicion that purchases are made for commercial purposes; (IV) in the event of non-fulfillment by the Client of its obligations arising from a previous contract concluded with The Uniqueform.

5.9. In the event of unavailability of one or more ordered Products, the Client will be informed via e-mail. In such case, the order proposal will be canceled, or accepted only for the available Products. In case of partial acceptance, the Client is required to pay only the price of the available Products (if payment is made by credit card, the Client will only be charged the amount corresponding to the available Products).

5.10. In accordance with Article 51, paragraph 7, of the Consumer Code, the Order Confirmation will include a summary of the essential characteristics of the purchased Products, the detailed indication of the price and payment methods, the information relating to delivery costs, the conditions and procedures for exercising the right of withdrawal (including the indication of the exclusion from the right of withdrawal in the case of customized Products), the indication of an address where complaints may be submitted, and information on after-sales services and existing commercial guarantees. The e-mail communication sent by The Uniqueform confirming the shipment of the Products, in accordance with Article 8.1 below (“Shipping Confirmation”).

5.11. The risk of loss or damage to the Products passes to the Client when the latter (or a third party designated by the Client and different from the carrier) physically takes possession of the Product.

PAYMENT METHODS
-
6.1. The Client may make payment of the amount relating to the Products included in the order proposal and the shipping costs by Credit Card, PayPal, Bank Transfer, or Klarna.

6.2. The charge of the transactions on the Client’s credit card will be made only after: (I) the credit card details have been verified; (II) the authorization to debit has been received from the company issuing the credit card used by the Client.

6.3. In the event that, for any reason, within 5 (five) business days from the date of the order it is not possible to debit to the credit card the amounts due by the Client (or, in the case of bank transfer, the funds corresponding to such amounts are not available on The Uniqueform’s bank account), the contract cannot be executed and the order will be considered canceled.

TRANSPORT AND DELIVERY

7.1. The Products will be delivered to the address indicated by the Client in the order proposal. At the time of delivery, the Client’s signature (or that of his/her delegate) is required. Deliveries are not made to P.O. boxes.

7.2. The invoice must be requested within 24 hours from the conclusion of the order at the e-mail address: contabilita@theuniqueform.com.

7.3. Delivery costs are borne by the Client and are shown separately in the order form.

7.4. The purchased products will be delivered by courier selected by The Uniqueform (hereinafter the “Courier”) on business days (excluding Saturdays, Sundays, and local or national holidays) from 9:00 am to 6:00 pm. Deliveries will be made within 4/5 days from the date of the Order Confirmation (except in cases of force majeure or unforeseeable circumstances) excluding remote areas. In case of failed delivery, the courier sends an e-mail, notifying the recipient of the attempted delivery. The next day, a second attempt is automatically rescheduled unless otherwise requested by the client via the link sent by the courier.

7.5. The Client (or his/her delegate) is required to check, at the time of delivery of the Products by the Courier:
(I) that the number of packages delivered corresponds to that indicated on the delivery note; and (II) that the packaging and related seals are intact, undamaged, not wet, nor altered in any way. Any damage to the packaging and/or Product or discrepancies in the number of packages or indications must be immediately contested in writing on the Courier’s delivery note. Once the Courier’s document has been signed without the Client raising objections, the Client may not raise any dispute regarding the external characteristics of the delivered package.
Shipments to Switzerland and the United Kingdom
For all shipments to Switzerland and the United Kingdom, any customs duties, local taxes, import duties, and customs clearance costs are borne by the recipient.
Such amounts, if applied by the local authorities, must be paid by the Client directly to the courier or the competent authority at the time of delivery.
Our company is not responsible for any delays or customs blocks resulting from non-payment of such amounts.

SHIPPING AND DELIVERY CONFIRMATION
8.1. The Uniqueform will send the Client an e-mail confirmation of shipment after the Products have been shipped. -
PACKAGING

9.1. Products purchased on the Site are delivered using the standard packaging used by The Uniqueform.

RIGHT OF WITHDRAWAL
10.1. Pursuant to Article 52 of the Italian Consumer Code (Legislative Decree no. 206/2005), the Customer has the right to withdraw from the contract, without providing any reason, within 14 (fourteen) days from the date on which the Customer, or a third party designated by the Customer and different from the carrier, takes physical possession of the Product.
The right of withdrawal does not apply to cosmetic apparel, which is expressly excluded from returns and exchanges.
10.2. In order to exercise the right of withdrawal, within the time limit set out in the previous Article 10.1, the Customer must submit a specific request through the online form available on the official The Unique Form website.
The request must include the order reference and be accompanied by clear and detailed photographs of the products to be returned.
The withdrawal request will be reviewed by The Uniqueform Srl and, only if approved, the Customer will receive by email all the necessary operational instructions to proceed with the return of the Product, including the return shipping address.
The right of withdrawal shall lapse in the event that The Uniqueform Srl verifies:
1. even partial use of the Product;
2. absence of the original outer packaging and/or internal packaging;
3. absence of integral components of the Product;
4. damage to the Product due to causes other than transport.
10.3. The Product must be returned intact, unused, not tampered with and complete with all its parts, including any original seals and labels.
Once the return has been authorized, the Customer must ship the Product within 14 (fourteen) days, in accordance with the instructions received by email.
The return shipping costs shall be borne by the Customer.
The Customer shall be liable only for any decrease in the value of the Product resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the Product.
10.4. The Uniqueform Srl shall refund the amount corresponding solely to the purchase price of the products, excluding shipping costs and any additional expenses, without undue delay and in any case within 14 (fourteen) days from the date of receipt and verification of the returned Product.
The refund will be made using the same payment method used by the Customer for the initial transaction, unless otherwise agreed between the parties.
10.5. The Uniqueform Srl reserves the right to withhold the refund until receipt and verification of the returned Product.
10.6. Once the Product has been shipped, the order may no longer be cancelled or modified. Any return of Products already shipped must be carried out exclusively in accordance with the procedure set out in this Article 10.

⚠️ Exceptions – Promotions with free products
In the case of promotions such as 3x2, 3+1, 4+2, etc., the purchased products are not subject to single or partial returns.
The right of withdrawal may only be exercised on the entire promotional bundle, including the free product, provided that all included products are intact and unused.

NON-ACCEPTANCE OF GOODS

11.1. The courier will attempt to deliver the goods to the Client a maximum of two times, after which the goods will be returned to the sender.

11.2. If the Client is not available for delivery or requests particular methods and times not provided for by the type of delivery purchased during the order phase, the goods will be returned to The Uniqueform Srl with full charge of return costs (€7 SHIPPING).

PRODUCT REPLACEMENT
12.1. Without prejudice to the Client’s rights provided for in Articles 10 and 13 of these General Terms, The Uniqueform does not in any case recognize the Client’s right to replace Products purchased on the Site with other products. -
NON-CONFORMITY DEFECTS

13.1. Should a Product sold by The Uniqueform present a manufacturing defect and in any case for any alleged defect of conformity relating to Products sold by The Uniqueform, the Client must immediately contact online assistance within 5 days of receipt of the goods, by e-mail to servizioclienti@theuniqueform.com or by mail to the address: The Uniqueform Srl Via Dei Mille 2 25122 Brescia.

13.2. The sale of Products is subject to the legal guarantees provided for by Articles 129, 130, and 132 of the Consumer Code. According to these legal provisions, the Client has the right to restore the conformity of the good through repair or replacement (the Client may choose whether to obtain repair or replacement of the Product under the conditions provided by law), at no cost, or, if one of these remedies is unsuccessful (according to Article 130, paragraph 7, of the Consumer Code), the Client may obtain an appropriate price reduction or termination of the contract.

13.3. In the event that the Client requests, within the terms provided in this Article 13, repair or replacement of the Product due to a defect of conformity of the Product, the delivery costs for the return of the Product to The Uniqueform for repair or replacement, as well as all delivery costs to the Client of the repaired or replaced Product, remain the responsibility of The Uniqueform.

WARRANTY OF AUTHENTICITY AND INTELLECTUAL PROPERTY RIGHTS
14.1. The Uniqueform guarantees the authenticity of all Products purchased on the Site. Products bearing the “The Uniqueform” brand are made with Italian materials, are packaged by Italian subcontractors, and are all MADE IN ITALY, with the sole exception of promotional products (pouches/gadgets), which are made in China, or other non-EU countries.
14.2. The “The Uniqueform” brand, as well as all figurative and non-figurative trademarks and service marks, present on the Products, on related accessories and/or packaging, shape trademarks, whether registered or not, as well as all illustrations, images, and logos protected by copyright, and, more generally, all intellectual property rights relating to the Products are and remain the exclusive property of The Uniqueform Srl.
PROCESSING OF PERSONAL DATA
The processing of personal data is governed by the Privacy Policy, available on the Site.
“Pursuant to Art. 130, paragraph 4, of the Privacy Code, The UniqueForm Srl may use the e-mail address and mobile number provided at the time of purchase to send commercial communications relating to products similar to those already purchased. The Client may object at any time to such communications via the link provided in each message or by sending a request to servizioclienti@theuniqueform.com.”
Voluntary newsletter subscription
Users who voluntarily subscribe to the newsletter on the website www.theuniqueform.com, even without making purchases, authorize the Company to send informative and promotional communications relating to products and services under the The Uniqueform brand.
The processing is based on the explicit consent of the data subject, given through a specific checkbox on the Site.
Consent can always be revoked at any time via the unsubscribe link provided in each communication or by writing to servizioclienti@theuniqueform.com.

APPLICABLE LAW AND JURISDICTION

15.1. These General Terms and Conditions and, consequently, the contracts concluded with Clients, are governed by Italian law and must be interpreted accordingly (including Legislative Decree No. 206 of 6 September 2005, “Consumer Code” and, in particular, “Chapter I, Title III of Part III” as well as Legislative Decree No. 70 of 9 April 2003, “E-commerce Decree”).

15.2. Any dispute arising from the interpretation, validity, and/or execution of these General Terms will be subject to the exclusive jurisdiction of the court of the Client’s place of residence or domicile.
